I, the undersigned, acknowledge that in connection with my work with The Hunger Project, I may be entrusted with sensitive, proprietary or otherwise confidential information in oral or written form (“Confidential Information”), including without limitation, financial, contact and other information about persons or organizations investing in The Hunger Project (“Investor Records”). I understand that, as an express condition of my access to the Confidential Information, I agree:

• To safeguard the confidentiality of the Confidential Information, not utilize it for any purpose other than that expressly approved by The Hunger Project, nor permit others to utilize it for any other purpose;
• To safeguard my Investor Records account password and not permit others access to The Hunger Project’s Investor Records system;
• At the request of The Hunger Project, to return to The Hunger Project or destroy (such destruction to be confirmed in writing) all copies (electronic or other) of any Confidential Information in all forms; and
• To reimburse The Hunger Project for any costs incurred by The Hunger Project as a result of my negligence or violation of this agreement. I further agree that damages may not be an adequate remedy for breach of this agreement.

I further acknowledge and agree that:

• My obligations with respect to the Confidential Information are continuing and will survive the time, if any, that I cease to actively work with The Hunger Project.
• For a period of one year from my last day of employment or volunteer status with The Hunger Project, not to solicit funds or other financial support from people I had contact with while an employee of or volunteer for The Hunger Project for another organization for which I am employed or otherwise paid or acting as a Volunteer.
• All questions about whether particular information is confidential will need to be addressed to the COO or CFO.
